For the purpose of these terms, the following words and phrases shall have the meaning assigned to them under this article. "Services" means the service provided by VANOX DYNAMICS PVT. LTD. and service providers to users, whereby a user can (i) receive payments from their customers or other payers; or (ii) make payment to suppliers, beneficiaries or other payees, by (A) IMPS/NEFT/RTGS; or (B) Credit/ Debit Card; or (C) Net Banking; or (D) any other mode of payment through banks, that may be accepted by VANOX DYNAMICS PVT. LTD. from time to time in these terms.

The term "User" refers to any individual who is registered on the VANOX DYNAMICS PVT. LTD. platform to use this website and/or engage in transactions or avail services through it, whether to make or receive payments from third parties. It also includes authorized personnel acting on behalf of the registered user to utilize the services.

Refers to any individual or entity receiving a payment through the services, including users who utilize the services to receive payments.

Refers to any individual or entity making a payment through the services, including users who utilize the services to make payments.

Refers to any services or products that a user purchases or offers for sale to third parties from time to time using these services, excluding prohibited products and services listed in Annexure A.

Refers to any bank, association, facility provider, card issuing institution, acquiring bank, financial institution, card processor, or clearing house network whose facilities or services are used to provide these services.

Refers to a payment instruction that successfully transfers funds either (A) from a user to a payee or (B) from a payer to a user.

The total amount to be paid or received by a user/payee includes all taxes, charges, interest, delivery costs, commissions, and other applicable fees.

The website and services are exclusively for individuals who are capable of forming legally binding contracts under Indian law and are 18 years of age or older. Any access to or use of the website or services by anyone under 18 is strictly prohibited. By using the website or services, the user confirms and warrants that they are 18 or older and legally competent to contract. The user also agrees that their payer/payee is equally competent to enter into a contract. A user represents and warrants that they possess full power and authority to use the services and are in full compliance with all applicable laws. These Terms and Conditions, as accepted by the user, should be read in conjunction with and in addition to any terms and conditions in force from time to time and issued by any service provider. They will also be read alongside the Privacy Policy. A user may only use the services and this website if they accept and agree to abide by all the following terms and conditions.

To avail of the services, the user must be registered with Maxmore Solutions PVT LTD and the service providers. The user is required to provide VANOX DYNAMICS PVT. LTD. with any necessary documents.
By registering with VANOX DYNAMICS PVT. LTD. the user agrees to provide true, accurate, current, and complete information. Failure to do so may result in VANOX DYNAMICS PVT. LTD. rejecting the user's registration and terminating their right to access or use the website and/or services. Upon registration with VANOX DYNAMICS PVT. LTD., a user account will be created, associated with the user's username, password, and other identifying information. The user is responsible for all activities that occur through their user account.

To avail of the services, the user must be registered with Maxmore Solutions PVT LTD and the service providers. The user is required to provide VANOX DYNAMICS PVT. LTD. with any necessary documents.
The services may be used by the user to make and receive payments from/to third parties.
To enable the user to use the services, a link with login credentials will be sent to the user's mobile phone or email address. The user irrevocably and unconditionally accepts full responsibility for the use, confidentiality, and protection of these login credentials, including passwords, as well as for all orders and information changes made using these credentials.
VANOX DYNAMICS PVT. LTD. has no obligation to verify the authenticity of a transaction other than by verifying the user's basic KYC information. The user shall take all necessary steps to maintain the security and confidentiality of their information, as outlined herein. VANOX DYNAMICS PVT. LTD. shall not be liable for any mistakes or misuse of the services by the user, any authorized person, or anyone gaining access through the user. The user agrees that Maxmore Solutions Pvt Ltd will accept all instructions originating from their account in good faith, consistent with commercially reasonable security standards. The user shall indemnify and hold Maxmore Solutions Pvt Ltd harmless for any direct or indirect losses incurred due to the disclosure of sensitive information by or through the user.
Upon receiving the necessary details from the service provider, VANOX DYNAMICS PVT. LTD. will initiate the required payment to the payee/user as instructed by the user/payer.
Confirmation of the transaction using valid login credentials shall serve as conclusive evidence that the transaction has been effected. The user is responsible for providing VANOX DYNAMICS PVT. LTD. with correct and up-to-date payee information. In the event that the payment is for the purchase of products by the user/payee, Maxmore Solutions Pvt Ltd is not responsible for ensuring the products have been delivered. If the user wishes to file a complaint regarding a transaction, it must be communicated to VANOX DYNAMICS PVT. LTD. within 10 (ten) days of the transaction.

Each user shall be responsible for:
1. Providing correct and accurate information of the payer/payee as required, independently.
2. Furnishing VANOX DYNAMICS PVT. LTD. with the original copies of proof of delivery of products, invoices, or other records related to any transaction, promptly upon request.
3. Ensuring that all licenses and registrations required for the sale/purchase of products are valid and in full force, enabling them to carry on their business activities.

The user shall not:
1. Engage in any activity that is banned, illegal, or immoral.
2. Use the services in a manner or for activities that violate any laws or regulations, or that could expose VANOX DYNAMICS PVT. LTD. to investigation, prosecution, or legal action.
The user undertakes and assures VANOX DYNAMICS PVT. LTD. that payments will not be made or received for any products listed in the Banned Items List, set out in Annexure A.
The user shall:
1. Comply with all applicable laws, rules, and regulations, and adhere to the guidelines set by Visa/MasterCard, acquiring banks, and service providers.
2. Not sell, provide, exchange, or disclose any personal information of a third party (including account details and mobile numbers), except for the purpose of completing a transaction or as required by law, without obtaining prior written consent from the third party.
3. Take all feasible precautions, or follow directions from MaxMore Solutions PVT LTD, to ensure there is no security breach and that the integrity of the connection between their systems, the website, and the payment mechanism is maintained. If any loss occurs due to a breach or improper link, the user shall bear the loss and indemnify VANOX DYNAMICS PVT. LTD. and the service providers from any resulting losses.
4. Be responsible for paying all relevant taxes, including applicable withholding taxes.
The user shall not at any time:
1. Request another user to provide details of their bank accounts, including passwords, account numbers, card numbers, mobile phone numbers, or PINs.
2. Use information about a payee/payer (such as name, address, email, telephone numbers, and other data) for any purpose other than completing the transaction for which it was provided. The user may not sell or disclose such information to others unless they have an independent source or obtain the express consent of the payee/payer.
The user shall inform VANOX DYNAMICS PVT. LTD. in writing 30 working days in advance of any changes to their email address, mobile number, address, ownership or legal status, or cessation of business.
The user shall not interfere with or damage the website through viruses, cancel bots, Trojan horses, harmful code, denial-of-service attacks, spoofing, or any similar methods.
VANOX DYNAMICS PVT. LTD. has the right to investigate and prosecute violations of these terms to the fullest extent of the law.

In consideration of the services provided by Maxmore Solutions Pvt Ltd, the user agrees to pay a fee as specified in the fee schedule outlined in the Merchant Agreement, on the VANOX DYNAMICS PVT. LTD. website, or as proposed by VANOX DYNAMICS PVT. LTD. via email to the registered email address.
VANOX DYNAMICS PVT. LTD. will deduct its transaction fees, plus service tax, for each successful transaction, and remit the balance of the transaction amount to the user/payee's designated bank account. All other taxes, duties, or charges will be borne and paid by the user, unless otherwise agreed upon by the parties. Maxmore Solutions Pvt Ltd reserves the right to alter, modify, or change the discount/commission rate at its discretion. Additionally, Maxmore Solutions Pvt Ltd has the right to revise the transaction fee immediately if there is a change in rates or charges imposed by acquiring banks, card associations, or guidelines issued by the RBI from time to time.
It is agreed and acknowledged by the parties that the transaction fees charged by VANOX DYNAMICS PVT. LTD. for a confirmed transaction will not be refunded or reimbursed to the user or any other party, regardless of whether the transaction is rejected, charged back, refunded, or disputed.

VANOX DYNAMICS PVT. LTD. acts solely as a payment processor for the client and does not have control over the activities or actions of the business it assists in processing payments.
VANOX DYNAMICS PVT. LTD. will not be responsible for any disputes between the users and payers/payees, including issues related to prices, delivery, non-delivery, delay in delivery, or the quality of products. Such disputes must be resolved directly between the user and the payer/payee, and VANOX DYNAMICS PVT. LTD. will not be a party to these disputes.
VANOX DYNAMICS PVT. LTD. cannot and does not guarantee the timing of any payments made or received, as the timing depends on the user's bank, card issuing bank/card processor (if a credit/debit card is used), acquiring financial institutions, and other service providers. VANOX DYNAMICS PVT. LTD. assumes no liability and shall not be held responsible for any delays in payment delivery or availability of funds when using the services.
VANOX DYNAMICS PVT. LTD. shall not be a party to any agreement between the user and any payer/payee. All contracts are directly between the users and their payers/payees.
The user is responsible for any miscommunication or incorrect user/third-party/other information provided to Maxmore Solutions Pvt Ltd when enabling the services.
If a bank or legal authorities request to block an account or place a lien on any amount of the client's funds, VANOX DYNAMICS PVT. LTD. will pass the request on to the client. The lien on the amount or unblocking of the account will occur only once cleared by the bank or the relevant authorities.
VANOX DYNAMICS PVT. LTD. and the service provider reserve the right to impose limits on the number of transactions that may be charged to an account during any time period and may refuse payments for transactions that exceed such limits. They also reserve the right to refuse payments for transactions by users with a prior history of questionable charges.

Subject to the provisions stated herein and as specified by Maxmore Solutions PVT LTD from time to time, the user agrees not to hold VANOX DYNAMICS PVT. LTD. liable for any improper, fraudulent, unauthorized, duplicate, or erroneous use of their mobile and/or web-based access. VANOX DYNAMICS PVT. LTD. will also not be liable for any consequences arising from the use or misuse of the user’s mobile/email account by any third party. If third parties gain access to the services, the user will be fully responsible and shall indemnify VANOX DYNAMICS PVT. LTD. against any liability, costs, or damages arising out of such misuse or unauthorized use by third parties, based on or related to such access and use, or otherwise.
The user shall be fully liable for:
- (A) Any unauthorized use of their mobile/email account.
- (B) All authorized transactions on their mobile/email account.
Without prejudice to the remedies available to Maxmore Solutions Pvt Ltd and these terms, VANOX DYNAMICS PVT. LTD. shall not be liable to the user for any loss or damage arising directly or indirectly out of:
1. Any defect in the products or services supplied to them.
2. Any inability of a third party to supply or deliver the required products in the necessary quantities or types.
3. The refusal of any person (including a service provider) to honor or accept a payment.
4. The malfunction of any computer terminal or equipment.
5. The use of the services by any person other than the user.
6. Any misstatement, error, or omission in any details disclosed to VANOX DYNAMICS PVT. LTD..

If VANOX DYNAMICS PVT. LTD. or the service provider reasonably suspects that a user has committed a breach of these terms, any other agreement with VANOX DYNAMICS PVT. LTD., or has engaged in any act of dishonesty or fraud against VANOX DYNAMICS PVT. LTD. or any service provider, VANOX DYNAMICS PVT. LTD. shall be entitled to:
- (A) Suspend all payments under these terms.
- (B) Deactivate or suspend the user's account and disable their password.
- (C) Terminate the user's access to the website or the services, pending inquiries by VANOX DYNAMICS PVT. LTD..
The user may cancel their account at any time by sending an email to VANOX DYNAMICS PVT. LTD.. Please note that once the account is canceled, VANOX DYNAMICS PVT. LTD. has no obligation to return any data or information that may reside on its servers or other equipment.

The user agrees to indemnify VANOX DYNAMICS PVT. LTD. from and against any and all liabilities (including but not limited to liabilities, judgments, damages, losses, claims, costs, and expenses), or any other loss that may arise from or relate to any claim, suit, or proceeding brought against VANOX DYNAMICS PVT. LTD. by another user, service provider, or third party for reasons including, but not limited to:
1. Delivery, non-delivery, delay, deficiency, or mistakes related to the products sold.
2. A breach, non-performance, non-compliance, or inadequate performance by the user of any of the terms, conditions, representations, obligations, or warranties made by the user.
3. Any acts, errors, misrepresentations, willful misconduct, or negligence by the user, or their employees, subcontractors, and agents in the performance of their obligations under these terms.
The user agrees to comply with all terms and conditions as prescribed by VANOX DYNAMICS PVT. LTD. or any service provider from time to time regarding the services. All transactions conducted by or through this website shall constitute legally binding and valid transactions when done in adherence to and in compliance with the terms and conditions prescribed by VANOX DYNAMICS PVT. LTD. or the seller/service provider.

The user agrees not to disclose, use, or personally benefit from any non-public information that they may learn through the website or the services. This obligation will continue until the non-public information becomes publicly known through no action of the user. No Failure Or Delay By VANOX DYNAMICS PVT. LTD. In Exercising Any Right, Power Or Privilege Shall Operate As A Waiver Thereof.
